1. Contract Formation
A binding contract forms when we confirm acceptance of your order by email, invoice, or through your Webforward account portal. These General Terms apply to all contracts between us and you, in addition to service-specific terms. Where there is a conflict, the service-specific terms take precedence.
2. Payment & Billing
All fees are quoted in GBP and are exclusive of VAT unless stated otherwise. Invoices are due within 28 days unless otherwise stated. We accept Direct Debit, Bank Transfer, Debit/Credit Card, and PayPal. Payments for any invoice exceeding £3,000 (three thousand pounds sterling) must be made via Bank Transfer (BACS). Our bank details will be provided on the invoice. Recurring services are billed in advance based on your plan. Failure to pay may result in suspension or termination; interest may be charged at 4% above Barclays Bank base rate on overdue balances.
3. Termination & Suspension
Either party may terminate by giving 30 days’ written notice after the Initial Term or any Renewal Term. We may suspend or terminate immediately for breaches, non-payment, or where continued provision creates legal, regulatory, or security risks. Fees up to the termination date remain payable.
4. Liability
Services are provided on an “as is” and “as available” basis. We do not guarantee uninterrupted or error-free service and are not liable for indirect or consequential loss, loss of profit, revenue, data, or goodwill, or for third-party software/services. Our total liability in any 12-month period shall not exceed fees paid for the affected service. Nothing limits liability for death, personal injury, fraud, or where exclusion is unlawful.
5. Intellectual Property
IP we create independently remains our property. IP relating to deliverables may be governed by the relevant service-specific terms (e.g., Website Design Terms).
6. Confidentiality
Both parties will keep confidential information secret except where disclosure is required by law or regulator.
7. Data Protection
We process personal data in accordance with UK GDPR and the Data Protection Act 2018. Details are set out in our Privacy & Cookie Policy, which forms part of these terms.
8. Complaints & Disputes
If you are unhappy with any aspect of our service, please contact us. If unresolved, escalate in writing to: Richard Leishman, Webforward, The Enterprise Centre, Corporation St, Tamworth, Staffordshire B79 7DN, or email richard@webfwd.co.uk. We will acknowledge within 2 working days and aim to resolve within 5 working days.
9. Notices
Notices must be in writing and sent by email to the primary contact in your account, or by post to our registered office. Emails are deemed delivered when successfully sent unless bounced.
10. Force Majeure
Neither party is liable for delays or failures caused by events outside reasonable control, including acts of government, war, strikes, power or internet failures, DDoS attacks, or natural disasters.
11. Governing Law & Jurisdiction
These General Terms (and all service-specific terms) are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of its courts.
